# Terms of Use

*The short version*

Send the mail your users asked for and we will do our best to get it delivered. Send bulk mail to people who never asked, and we will cut you off — not out of principle, but because our sending reputation is shared, and your spam lands in someone else's customer's spam folder.

This box is a summary and is not the agreement. The sections below are.

## Who these terms are with

These terms are an agreement between you — or the company you are acting for — and **Trohld AS**, registered at **Ladebekken 38, 7041 Trondheim** ("Misralo", "we", "us"). They cover Announcer, our API at `mail.misralo.com`, the dashboard at `announcer.misralo.com`, and this website.

By creating an account or sending a request to the API, you accept these terms. If you are agreeing on behalf of a company, you are confirming you have the authority to do that. If you do not accept them, do not use the service.

Our [Privacy Policy](https://misralo.com/privacy.html) explains what we do with data and forms part of this agreement.

## Your account

- You must be 16 or older, and give us an email address that reaches you.
- Keep your credentials to yourself. API keys are shown once, at creation, and act as you — anyone holding one can send under your verified domains. Treat a leaked key as an incident: revoke it in the dashboard and create a new one.
- You are responsible for what happens under your account, including what your own code does with it.
- One account per organisation. Do not open several to work around plan limits.

## Domains and DNS

You may only add domains you own or are authorised to send for. Adding a domain generates a signing key, and we will not send from that domain until the DNS record we give you actually resolves — we would rather refuse than let unsigned mail out under your name.

If you lose control of a domain, remove it from your account. Continuing to send from a domain you no longer control is a breach of these terms.

## What you may send

Announcer is built for transactional mail: password resets, receipts, alerts, notifications — messages a specific person is expecting because of something they did.

**You may not use the service to send:**

- Unsolicited bulk email, of any kind, to recipients who have not asked to hear from you. A list you bought, scraped, harvested or inherited is not consent.
- Phishing, spoofing, or anything designed to make a recipient believe a message came from someone it did not.
- Malware, or links intended to deliver it.
- Content that is unlawful where you are or where the recipient is, that infringes someone's rights, or that harasses, threatens or defames a person.
- Mail to addresses on your suppression list, or attempts to circumvent that list. Hard bounces and complaints go on it automatically and stay there for a reason.

**You also may not:**

- Probe, load-test, or attempt to break the service, or work around rate limits, plan allowances or authentication.
- Resell access, or use the API as a general-purpose mail relay for third parties.
- Use the service in a way that damages our sending reputation or that of other customers.

If a recipient tells you to stop, stop. If you are sending anything that looks like marketing, applicable law — the GDPR and the ePrivacy rules in the EEA, CAN-SPAM in the US — is your responsibility to comply with, including the unsubscribe mechanism.

## Plans and limits

The free plan covers 100 messages a day and 2 domains, and it is a plan rather than a trial: it does not expire. The paid plans and their prices are set out on our [pricing page](https://misralo.com/pricing.html).

Limits are applied per account and we may adjust yours — up, when you ask and it makes sense; down, if your sending is causing problems. Requests over your limit are refused with an HTTP 429 rather than queued indefinitely.

## Paying for a plan

**What you are charged.** A paid plan has a fixed monthly fee and an included allowance of messages. Messages beyond that allowance are charged at the per-1,000 rate shown for your plan and appear on your next invoice. We count a message when we accept it from you, not when a mailbox provider delivers it — including a message addressed to somebody on your suppression list, which we accept and then refuse to send. Each paid plan also has a hard monthly ceiling above its allowance; requests past it are refused with an HTTP 429, so a leaked API key cannot produce an unbounded bill.

**Billing cycle.** The monthly fee is charged in advance at the start of each period; overage from the period just ended is charged with it. Changing plan mid-period is prorated, and we show you the amount before you confirm it.

**Who you are buying from.** Announcer is our service and these terms govern your use of it. The purchase itself is sold through Link, a Stripe company, which acts as the **merchant of record**: Link is the seller named on your invoice, your card statement shows `LINK.COM*`, and receipts, invoices and refund notices are sent to you by Link rather than by us. Alongside the billing page in your dashboard, you can view orders, update your payment method and cancel at [link.com](https://link.com).

**Tax.** Prices are shown excluding VAT. Link calculates, collects, reports and remits VAT, GST and sales tax on these sales, based on the billing address you give at checkout, and issues the tax invoice for them. If you are a business, enter your VAT number at checkout so it is applied correctly. You are responsible for the accuracy of the billing details and tax identifiers you provide. We never see or store your card number.

**Currency.** Our prices are set in euro. At checkout you may be offered your own local currency instead, converted at the payment provider's rate; the amount shown before you confirm is the amount that will be charged.

**Failed payments.** If a charge fails we will retry it over roughly three weeks and email you. Your service is not interrupted during that time. If it has still not been paid at the end of it, the subscription ends and the account returns to the free plan and its limits.

**Cancelling and refunds.** You can cancel at any time, either from the billing page in your dashboard or at [link.com](https://link.com). The plan stays active until the end of the period you have already paid for, and then the account returns to the free plan. We do not refund the remainder of a period, except where the law requires it or where we have got something wrong. Because Link is the merchant of record, it handles payment disputes and may also issue a refund on a transaction directly.

**Message history after a downgrade.** Paid plans keep message records longer than the free plan does. When an account returns to the free plan we keep the wider window for a further 14 days and email you the date it narrows, so a lapsed payment does not destroy your history the same day.

**Price changes.** We may change prices. If we do, we will email account holders at least 30 days before the change takes effect for them, and you can cancel before then if you would rather not pay the new price.

## Availability

We will make a genuine effort to keep the service up and your mail moving, and we will tell account holders about planned work that will interrupt it. The free plan comes with no uptime commitment and no service credits, and we may change, suspend or discontinue parts of the service. If we ever discontinue the service outright, we will give account holders reasonable notice and time to export their data.

### The commitment on paid plans

On a paid plan we commit to **99.5% uptime in a calendar month**. Uptime means the API accepting messages you are entitled to send: if `POST /v1/emails` answers a valid request with a 5xx, or does not answer, that time is downtime. It is measured in whole minutes, from our own monitoring, and we will show you the figures behind a claim if you ask.

Three things are not downtime, because none of them is us failing to run the service: planned work we announced to account holders at least 48 hours ahead; a fault in something we do not operate, such as your DNS provider or the mailbox provider you are sending to; and requests we correctly refused — over your plan's limits, from a suspended account, or for a domain that is not verified.

If we miss it, you get a **service credit**: 10% of that month's subscription fee for each 0.5% below 99.5%, or part of it — so any miss at all is worth at least 10% — up to 100% of the fee for that month. A credit is applied against your next invoice, and the month's fee is the most it can ever be worth — it is not a refund of what your own business lost, which is the limit the [liability](https://misralo.com/terms.html#liability) section describes.

Claim by emailing [hello@misralo.com](mailto:hello@misralo.com) within 30 days of the end of the month in question, naming the month. One claim covers the whole month; you do not need to itemise the outage. We would rather apply a credit you were owed than argue about whether you noticed, so if our own monitoring shows we missed the number, we will tell you and credit you without waiting to be asked.

Delivery itself is not something anyone can guarantee. We sign your mail properly and hand it to the receiving server; whether a mailbox provider accepts it, files it, or drops it is their decision, made against your domain's reputation.

## Your mail is yours

You keep every right you have in the content you send. You grant us only the permission we need to run the service: to transmit, sign, and store the delivery records described in the [Privacy Policy](https://misralo.com/privacy.html). We do not read your mail, we do not store message bodies, and we do not use your content to build anything of our own.

## Suspension and termination

We may suspend or close an account that breaches these terms. Where the problem is fixable and not urgent, we will contact you first and give you a chance to fix it. We will act immediately, without notice, where sending is actively harmful — an ongoing phishing campaign, a compromised key being used to blast spam, anything that puts the shared sending reputation at risk.

You can close your account at any time from the dashboard. On closure we delete your data as described in the [Privacy Policy](https://misralo.com/privacy.html). Export anything you want to keep first.

## No warranties

The service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any particular message will be delivered.

## Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, for lost profits, revenue, data or goodwill, or for the consequences of a message failing to arrive.

Our total liability arising out of or relating to this agreement is limited to the greater of the amount you paid us in the twelve months before the claim, or €100. If you are on the free plan, that means €100.

Nothing here limits liability that cannot lawfully be limited — including for death or personal injury caused by negligence, for fraud, or any right you have as a consumer under mandatory local law.

## Your responsibility for what you send

If a third party brings a claim against us because of the mail you sent, the content in it, or your breach of these terms, you will cover our reasonable costs in dealing with it. We will tell you promptly about any such claim and will not settle it without talking to you.

## Changes to these terms

We may update these terms. The date at the top changes when we do. For material changes we will email account holders at least 30 days before they take effect, and continuing to use the service after that means you accept them. If you do not, close your account.

## Governing law

These terms are governed by Norwegian law, and disputes go to the Norwegian courts. This does not deprive you of the protection of mandatory consumer law in your country of residence.

If a provision here turns out to be unenforceable, the rest stays in force. Our not enforcing something on one occasion is not a waiver of it.
